Terms of Service

These Terms of Service ("Terms") govern your access to and use of the GeoProof OOH verification platform, website, mobile application, and related services (collectively, the "Services") provided by GeoProof Technologies Pvt. Ltd. ("GeoProof", "we", "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Definitions

"Account" means the user account you create to access our OOH verification platform. "User" means any individual or entity that accesses or uses our Services. "Verification Data" means GPS coordinates, photographs, videos, timestamps, and related metadata captured through our platform. "Campaign" means an outdoor advertising campaign monitored using our Services. "Subscription" means your paid plan for accessing our OOH verification tools.

2. Account Registration

To use our Services, you must create an Account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access. You must be at least 18 years old and have the legal authority to bind your organization to these Terms.

3. Use of Services

GeoProof grants you a non-exclusive, non-transferable, revocable license to access and use our OOH verification tools during the term of your Subscription. You agree not to reverse engineer, decompile, or disassemble any part of our platform, use our Services for any unlawful purpose or to violate any third party's rights, attempt to gain unauthorized access to our systems or other users' accounts, use automated tools to scrape, crawl, or extract data from our platform, or share your account credentials with unauthorized individuals.

4. Data Ownership

You retain ownership of all Campaign data and Verification Data uploaded to or generated through our platform. GeoProof has a limited license to use this data solely to provide and improve our Services. Upon termination of your Subscription, you may export your data within 30 days. After this period, we may delete your data in accordance with our data retention policy described in our Privacy Policy.

5. Subscriptions and Payment

Paid Subscriptions are billed in advance on a monthly or annual basis. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable GST (18%). You authorize us to charge your payment method for recurring Subscription fees. You may cancel your Subscription at any time, with cancellation effective at the end of the current billing period. Refunds are not provided for partial billing periods, except during the 14-day free trial period.

6. Service Level Agreement

GeoProof commits to 99.5% platform uptime measured monthly, excluding scheduled maintenance windows communicated 48 hours in advance. GPS verification accuracy is guaranteed at 99.8% under normal operating conditions. If we fail to meet these SLAs, Enterprise customers may be eligible for service credits as specified in their individual service agreements.

7. Intellectual Property

The GeoProof platform, including all software, algorithms, designs, trademarks, and documentation, is the intellectual property of GeoProof Technologies Pvt. Ltd. Nothing in these Terms transfers any intellectual property rights to you. You may not use our trademarks without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by Indian law, GeoProof's total liability for any claims arising from your use of our Services is limited to the fees you paid during the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

9. Indemnification

You agree to indemnify and hold harmless GeoProof and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your violation of these Terms, your use of our Services, or any content you upload to our platform.

10. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of our Services shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith mediation.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through our platform. Your continued use after changes take effect constitutes acceptance of the updated Terms.
